Those who own a business in the field of indoor or outdoor playgrounds know how complex it is to open such a business. Like in any business, the documentation part involving permits and authorizations is the most complicated. For those who wish to invest in businesses with indoor play area setups, we have prepared an informative list of steps to be followed to make this possible.

 

The necessary documents to open a company that will manage children's play areas equipped with professional inflatables must be obtained from the Trade Registry Office, and here are the steps to follow:

 

1.  Trade Registry:

 

• Registration application (in original);
• Proof of availability and reservation of the company name (in original);
• Proof of sole shareholder status in a single limited liability company (in original);
• Articles of incorporation (in original);
• Document proving the right to use the space designated as the registered office, registered with the tax authority; (lease agreement or rental agreement)
• Certificate issued by the competent tax authority certifying that no other document proving transfer of use rights for the same property has been registered for the property designated as the registered office, whether for consideration or free of charge;
• Authenticated declaration of compliance with the conditions regarding the registered office, if the certificate issued by the competent tax authority indicates that other documents attesting to the transfer of use rights for the same property designated as the registered office have already been registered with the tax authority;
• If applicable, approval for changing the destination of collectively owned residential properties (completed on a standard form, in original);
• Proof of the payment of subscribed contributions by shareholders to the share capital (copies); (transfer of amounts representing share capital to a bank account, proportional to each shareholder's participation)
• Documents certifying ownership for in-kind contributions subscribed and paid upon incorporation;
• Declarations, signed under their own responsibility, by directors / censors, or individual representatives of the legal entity appointed as directors or censors, indicating that they meet the legal conditions for holding such positions (in original);
• Identification documents of founders, directors, censors, or individual auditors (copy);
• Samples of the signatures of company representatives (in original);
• Tax clearance certificates for shareholders or legal representatives of the commercial company domiciled/resident/registered in Romania or for foreign individuals or legal entities that hold this status and are fiscally registered in Romania;
• Standard declaration signed by shareholders or directors confirming that the legal entity meets the operational conditions prescribed by specific legislation in the fields of health, veterinary health, environmental protection, and labor protection for the activities specified in the standard declaration (in original).
• Proof of payment of legal fees/tariffs:– registration fees;– publication tariff in the Official Gazette,


2.  Tax Administration Agency

 

• Tax clearance certificate;
• Document proving the right to use the space designated as the registered office, registered with the tax authority in the jurisdiction where the property designated as the registered office is located; (lease agreement or rental agreement, property documents);
• Certificate issued by the competent tax authority certifying that no other document proving transfer of use rights for the same property has been registered for the property designated as the registered office, whether for consideration or free of charge; (lease agreement or rental agreement, property documents).

3.  Notary

• Signature specimens;
• Declaration of compliance with the legal conditions to be an administrator/shareholder;
• Power of attorney or authorization if someone else is delegated to compile all the documentation. If you have an electronic signature, you can also submit the documentation online.
